About the Role:

FourQuarters Recruitment are currently seeking a Company Secretary to take full responsibility for all the Company Secretarial obligations, Board and Committee requirements and interaction with regulators, ensuring that good corporate governance principles are implemented and achieved. Further to this, the role of Company Secretary plays a key role in managing certain strategic initiatives of the Company, under the direction of the CFO and the the Managing Director.

Key responsibilities:
  • Ensuring the Company complies with its statutory obligations, under the relevant laws and regulations
  • The management of Board meetings, including the co-ordination, agenda setting, preparation of relevant governance papers, taking minutes and providing practical solutions to complex matters/issues
  • Ensuring completion and lodgement of statutory forms and reporting under the Corporations Act and any other relevant legislation or regulation
  • Record, and advise relevant regulatory bodies on any declarations and/or conflicts of interest of Directors
  • Manage the annual review of Board, Committees and Directors
  • Corporate governance, including preparing charters for committees, writing briefing papers, arranging meetings, managing the Policy Review framework for the Board, and overseeing the filing of documentation for the annual general meetings of related/associated entities
  • Guidance to Directors and management on various matters
  • Prepare a corporate governance/policy manual for Directors/ management
  • Responsible for strategic project management of initiatives as directed
  • Provide Executive-level support to top decision-makers and project managers
  • Lead cross-functional, high-impact projects as directed
  • Identify and elevate those issues about which the C-Suite should be aware and framing/positioning ideas to resolve the problem/mitigate the risk
  • Direct cross-functional teams and facilitate efforts to build new business strategies, streamline processes, identify, qualify and present strategic issues to C-Suite and Executive team
  • Collaborate with the Executive team to facilitate operational objectives, which include but are not limited to reduce costs, establish savings and special project

  • Degree qualified (MBA preferred)
  • Proven track record of effectively interacting with senior management
  • Ability to work strategically and collaboratively across departments
  • Robust analytical and quantitative skills, as well as attention to detail
  • Proficient ability to drive change in a matrixed environment
  • Knowledge of statutory, legislative and community standard requirements of issues
  • Knowledge of change management principles and practices
  • Proactive, flexible and team player. The holder of the office must be result driven and able to motivate or inspire both junior and senior staff
  • Experience in Financial Services is preferred, not but essential.
